Impala Bondco plc – Provides financial updates

Nottingham, 15 September 2025 – In connection with the written procedure announced separately by way of press release on the date hereof, Impala Bondco Plc (the “Company” and together with its subsidiaries the “Group“) hereby provides a financial update as set out below.

Since June 2025, the Company has faced challenges in retaining existing customers, resulting in elevated churn. The Group recorded an average churn rate of 3.0%, where churn is defined as confirmed churn plus downsell and pending contracts, divided by LTM Revenue as of December 2024 (excl. Netop). The higher churn has directly impacted annual recurring revenue (“ARR”), which as of July 2025 declined by 15% compared to June 2024.

As disclosed in the written procedure, the Company has evaluated a potential divestment of its non-core remote access business (the “Netop Group”). The Netop Group reported FY 2024 revenue of USD 3.0 million and adjusted EBITDA of USD (0.5) million (together, the “FY24 Netop Figures”). As of July 2025, the Netop Group generated revenue of USD 2.4 million and adjusted EBITDA of USD (0.4) million (together, the “Latest Trading Netop Figures”).

The figures presented above have not been reviewed or audited by the Company’s auditor, and actual outcomes may differ significantly from these estimates.
