HIGHLIGHTS
–    Stabilt Justerad EBITA-resultat om 31,1 MSEK och fortsatt starkt fritt operationellt kassaflöde
–    Nedskrivningar av övervärden belastade periodens resultat med 110,5 MSEK
–    Efter utgången av kvartalet har Rebellion ingått avtal om kreditfacilitet om 100,0 MSEK 

TREDJE KVARTALET (1 JULI – 30 SEPTEMBER 2025)
–    Nettoomsättningen för kvartalet uppgick till MSEK 202,9 (214,6).  
–    Justerad EBITA för perioden var MSEK 31,1 (31,7) vilket motsvarar en marginal om 15,3% (14,8). 
–    Periodens resultat var -127,5 MSEK (-116,2). Resultatet har belastats med -110,5 MSEK (-) av nedskrivning av övervärden utan påverkan på kassaflödet.  
–    Fritt operationellt kassaflöde var 36,4 MSEK (19,9).
–    I augusti tillträdde Christer Johansson som VD och Amin Omrani tog över som styrelseordförande.

NIO MÅNADER (1 JANUARI – 30 SEPTEMBER 2025)
–    Nettoomsättningen uppgick till 597,8 MSEK (631,8).
–    Justerad EBITA för perioden var 78,7 MSEK (79,4) vilket motsvarar en marginal om 13,2% (12,6).  
–    Periodens resultat var -140,5 MSEK (-136,8). Resultatet har belastats med -110,5 MSEK (-) av nedskrivning av övervärden. Nedskrivningen har ingen kassaflödespåverkan. 
–    Fritt operationellt kassaflöde var 90,8 MSEK (107,6).
–    Ett mindre tilläggsförvärv inom Infrastruktur gjordes under perioden.

HÄNDELSER EFTER BALANSDAGEN
-    I oktober har Rebellion utnyttjat möjligheterna i obligationsvillkoren att uppta en Senior Secured Revolving Credit Facility (SSRCF). Rebellion och Pareto Bank har ingått en överenskommelse om en SSRCF om 100,0 MSEK som löper till februari 2028. Vid rapportdagen har Rebellion inte utnyttjat kreditfaciliteten.
-    Rebellion ingår överenskommelse gällande skuldförd köpeskilling där viss del konverterats till aktier. Berört skuldbelopp uppgick per september till 18,9 MSEK. 
-    Rebellion har genomfört en strategisk översyn av koncernens innehav. Som en följd av denna översyn har aktieöverlåtelseavtal ingåtts avseende avyttring av två dotterbolag, Ingemars Foder och Maskin AB samt Future Conduct AB. Båda avyttringarna förväntas fullgöras under fjärde kvartalet 2025. Avyttringen av dessa bolag kommer inte ha någon materiell påverkan på Rebellions kassaflöde.

Their engagement provides a solid foundation to further develop the companies, especially given the challenging market conditions that still prevail." says Christer Johansson, CEO, and continues, "Our goal is a 15% adjusted EBITA margin for the full year, and we continue our focused efforts to achieve that."

HIGHLIGHTS
-    Stable Adjusted EBITA-result of 31.1 MSEK and continued strong free operational cash flow 
-    Write-downs of excess values of 110.5 MSEK affected the period's result
-    After the end of the quarter, Rebellion has entered into an agreement for a credit facility of 100.0 MSEK 

THIRD QUARTER (JULY 1 – SEPTEMBER 30, 2025)
-    The net sales for the quarter amounted to 202.9 MSEK (214.6).  
-    Adjusted EBITA was 31.1 MSEK (31.7), resulting in a margin of 15.3% (14.8).  
-    Net income (loss) was -127.5 MSEK (-116.2). The result includes write-downs of -110.5 MSEK (-) due to impairment of excess values. The impairment of excess values has no cash flow impact.
-    Cash flow from operating activities was 36.4 MSEK (19.9).
-    In August, Christer Johansson took office as CEO and Amin Omrani took over as chair of the board.

NINE MONTHS (JANUARY 1 – SEPTEMBER 30, 2025)
-    Net sales for the period amounted to 597.8 MSEK (631.8).  
-    Adjusted EBITA was 78.7 MSEK (79.4), resulting in a margin of 13.2% (12.6).  
-    Net income (loss) was -140.5 MSEK (-136.8). The result include write-downs of -110.5 MSEK (-) due to impairment of excess values. The impairment of excess values has no cash flow impact. 
-    Free operational cash flow was 90.8 MSEK (107.6)
-    A smaller add-on acquisition in Infrastructure was made during the period.

SUBSEQUENT EVENTS
–    In October, Rebellion utilized the provisions in the bond terms to establish a Senior Secured Revolving Credit Facility (SSRCF). Rebellion and Pareto Bank have entered into an agreement for an SSRCF of 100.0 MSEK, maturing in February 2028. The interest rate on the utilized portion is STIBOR + 5.15%. As of the reporting date, Rebellion had not drawn on the credit facility.
–    Rebellion has entered into an agreement regarding purchase price debt, where part of which has been converted into shares. The affected debt amounted to 18.9 MSEK as of September.
–    Rebellion has conducted a strategic review of the group’s companies. As a result of this review, share transfer agreements have been signed for the divestment of two subsidiaries: Ingemars Foder och Maskin AB and Future Conduct AB. Both divestments are expected to be completed during the fourth quarter of 2025. These divestments will not have a material impact on Rebellion’s cash flow.
