Completion of registration of share capital increase and admission to trading of 3,500,000 new shares issued in connection with Shape Robotics A/S’ acquisition of Sanako Oy

Shape Robotics A/S (the “Company”) refers to Company Announcement No. 13-25 dated 3 June 2025 regarding the acquisition of Sanako Oy by way of a share swap.

In connection with the transaction, the Company will issue 3,500,000 new shares of nominally DKK 0.10 each in consideration of all of the shares in Sanako Oy.

Following registration of the share capital increase in the Danish Business Authority on 4 June 2025, Nasdaq Copenhagen has confirmed that the 3,500,000 newly issued shares will be admitted to trading and official listing on Nasdaq Copenhagen, with the first expected day of trading being Wednesday, 11 June 2025. The new shares will be issued in and be admitted to trading under the same ISIN code as the existing shares (ISIN code DK0061273125).

Following registration of the capital increase of the new shares, the share capital of Shape Robotics A/S is now nominally DKK 1,856,616.70, divided into 18,566,167 shares of nominally DKK 0.10 each, and the total number of voting rights are 18,566,167. There is only one class of shares in Shape Robotics A/S, and all shares have been issued in and are admitted to trading under ISIN code DK0061273125 (as of 11 June 2025, when the 3,500,000 newly issued shares will be admitted to trading).
