Major Shareholding Notification - ownership restructuring – related party transaction

Copenhagen, 14 September 2026 – Curasight A/S (“Curasight” or the “Company” – TICKER: CURAS) announces that the Company has received notification of a change in the ownership structure of an existing major shareholding following an internal restructuring. As a result of the restructuring, Curacap Holding ApS now holds 27.68% of the shares and voting rights in Curasight. This announcement is published in accordance with the applicable major shareholding notification rules of Spotlight Stock Market.

Background

Co-founder, CMO & CSO Andreas Kjær and CEO & CFO Ulrich Krasilnikoff have completed an internal restructuring of their ownership interests in Curasight by consolidating their holdings into a jointly controlled holding structure.

For the purpose of the restructuring, Curacap Holding ApS was established as a new holding company. Curacap Holding ApS is the surviving company following a merger with Curacap II ApS, which ceases to exist as a consequence of the merger.

Prior to the restructuring, the relevant shares in Curasight were held through Curacap II ApS. Following completion of the restructuring and merger, the shares are held by Curacap Holding ApS.

The restructuring is of a technical nature and does not change the underlying economic ownership of the relevant Curasight shares at the individual shareholder level. The purpose of the restructuring is to simplify and streamline the founders' ownership structure and to establish A and B share classes within the new holding structure in order to facilitate potential future internal generational succession.

Transaction Details

Prior to the restructuring, Andreas Kjær's ownership interest through Curacap II ApS represented an indirect holding of 7,365,145 shares in Curasight, corresponding to 14.89% of Curasight's shares and voting rights.

The ownership interests of Ulrich Krasilnikoff, Susanne Krasilnikoff and Peter Krasilnikoff through Curacap II ApS represented an indirect holding of 6,329,856 shares in Curasight, corresponding to 12.79% of Curasight's shares and voting rights.

As part of the restructuring, the ownership interests in Curacap II ApS were exchanged for ownership interests in Curacap Holding ApS, followed by the merger of Curacap II ApS into Curacap Holding ApS, with Curacap Holding ApS as the surviving company.

Following completion of the restructuring, the ownership of Curacap Holding ApS is as follows:

  • Andreas Kjær: 53.78%
  • Krasilnikoff Holding 1 ApS: 25.95%
  • Krasilnikoff Holding ApS: 20.27%

Following the transaction, Curacap Holding ApS holds 13,695,001 shares in Curasight A/S, corresponding to approximately 27.68% of the Company's shares and voting rights.

Governance Arrangements

Curacap Holding ApS is jointly controlled by Andreas Kjær and Ulrich Krasilnikoff pursuant to the governance arrangements between the shareholders.

The shareholders have agreed that all material decisions concerning Curacap Holding ApS require the unanimous approval of Andreas Kjær and Ulrich Krasilnikoff. Accordingly, both parties have equal influence over material decisions relating to the combined shareholding in Curasight.

In the event of a disagreement that cannot be resolved, either party may require Curacap Holding ApS to be liquidated in accordance with the agreed governance arrangements.

Major Shareholding Notification

As a result of the restructuring, Curacap Holding ApS holds approximately 27.68% of the shares and voting rights in Curasight and has therefore crossed the 25% notification threshold pursuant to Section 4.21 of the Spotlight Stock Market Rulebook.

Under the applicable rules, the Company is required to disclose changes in major shareholdings when a shareholder's holding reaches, exceeds or falls below specified thresholds.

The restructuring has been completed, and this announcement is made in accordance with the applicable rules.

Impact on Curasight

The restructuring is an internal matter between the shareholders and does not affect Curasight's operations, strategy or financial position.

The Company notes that the assessment of whether the restructuring gives rise to any separate notification requirements under Danish law is subject to confirmation by the Danish Financial Supervisory Authority.
