Realfiction cancels EGM 2 and withdraws the proposed Incentive Programs
Realfiction Holding AB (“Realfiction” or the “Company”) has decided to cancel the extraordinary general meeting, scheduled on September 23 at 12 noon, to consider the proposed Incentive Programs (“EGM 2”). Consequently, the Incentive Programs will not be presented to shareholders for approval. The decision follows the Company’s recent dialogue with shareholders. Members of management intend to participate in the intended Rights Issue, and the Company expects to provide further information regarding the extent of management’s participation in a separate press release.
Realfiction has decided to cancel EGM2 scheduled to consider the proposed Incentive Programs and, consequently, the Incentive Programs will not be presented to shareholders for approval.
The decision follows the Company’s recent dialogue with shareholders, including the virtual shareholder meeting held on 9 September 2026. The Company has carefully considered the feedback received and has concluded that it is appropriate not to proceed with the proposed Incentive Programs at this time.
The Incentive Programs were proposed with the objectives of preserving cash, retaining key people during a critical period for the Company and strengthening the long-term alignment between management, the Board of Directors and shareholders. However, the dialogue with shareholders has made clear that the proposed programs have become a concern for a number of shareholders, particularly in light of the potential dilution associated with the proposed Rights Issue.
The Company has therefore decided to withdraw the Incentive Programs and cancel EGM 2.
Members of the management team intend to participate in the proposed Rights Issue. The Company expects to provide further information regarding the extent of management’s participation in a separate press release.
Based on the current level of underwriting commitments, the Company expects the net proceeds from the Rights Issue to provide a financial runway until May 2027. This represents a change from the previously communicated expectation of a runway until June 2027, which was based on the assumption that the Incentive Programs would be approved at EGM 2.
